Terms of Service

01Introduction
These Terms of Service ("Terms") govern your access to and use of Neural Wallet (the "Service"), provided by NeuralWallet Inc. ("NeuralWallet", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service includes our mobile applications, web application, and any related features, content, or tools we make available.
02Eligibility
You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
The Service is currently offered to users in the United States, Canada, United Kingdom, and Australia. We may restrict availability in other regions.
03Your account
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You agree to provide accurate, current, and complete information when creating your account.
- You must notify us promptly at [email protected] if you suspect unauthorized access to your account.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to other users or to the Service.
04The Service
NeuralWallet is a personal expense tracking and budgeting tool. You manually enter transactions, budgets, and categories. The Service may use artificial intelligence ("AI") features to help you categorize, summarize, or query your data.
NeuralWallet is not a financial institution, broker, tax preparer, or financial advisor. Nothing in the Service constitutes financial, investment, tax, accounting, or legal advice. You are solely responsible for financial decisions you make.
05AI features
The Service includes AI-powered chat and assistance. When you use these features:
- Your messages and relevant context (such as transactions you reference) are sent to third-party large language model providers (including Anthropic) to generate responses.
- AI output may be inaccurate, incomplete, or out of date. Do not rely on it without independent verification.
- You must not submit content that violates Section 7 (Acceptable Use).
06Your content
You retain ownership of the transaction data, notes, and other content you submit to the Service ("Your Content"). You grant NeuralWallet a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, maintain, and improve the Service for you, and to provide AI features you invoke.
We do not sell Your Content. We do not use Your Content to train third-party AI models. See the Privacy Policy for full details.
07Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation (including the laws of the US, Canada, UK, and Australia).
- Attempt to gain unauthorized access to any part of the Service, other accounts, or our infrastructure.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by applicable law.
- Use the Service to harass, threaten, defame, or harm any person.
- Upload viruses, malware, or other harmful code, or interfere with the Service's operation.
- Scrape, crawl, or harvest data from the Service except through interfaces we expressly provide.
- Use the Service to launder money, finance terrorism, or commit fraud.
- Submit content to AI features that is illegal, infringing, or that contains another person's sensitive personal information without their consent.
08Fees and subscriptions
NeuralWallet offers a free plan and paid subscription plans (collectively, "Pro"). The applicable fees, billing cycle, and renewal terms will be presented at purchase. Unless required by law:
- Recurring billing. Pro plans automatically renew at the end of each billing cycle until you cancel.
- Cancellation. You can cancel at any time from Settings. Cancellation takes effect at the end of the current billing period; you keep Pro access until then.
- Refunds. Except where required by law, fees are non-refundable once charged.
- Price changes. We may change pricing on prospective renewals with at least 30 days' advance notice.
- Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for applicable sales tax, VAT, GST, or HST.
- App store purchases. If you subscribe through Apple App Store or Google Play, billing, refund, and cancellation are governed by those stores' terms (and processed by RevenueCat on our behalf) in addition to ours. Web subscriptions are processed by Stripe.
Australia (ACL): Nothing in this section excludes
guarantees that cannot be excluded under the Australian Consumer Law.
UK / EU residents: You may have statutory cancellation
and refund rights that override this section.
09Third-party services
The Service relies on third-party providers, including but not limited to authentication, hosting, payment, and AI inference providers. We are not responsible for third-party services, and your use of them may be subject to their own terms.
10Intellectual property
The Service, including its software, design, branding, and content (excluding Your Content), is owned by NeuralWallet and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, subject to these Terms.
11Termination
You may stop using the Service and delete your account at any time from within the app or by contacting [email protected]. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued operation would be commercially impractical. Sections that by their nature should survive termination (including Sections 6, 10, 12, 13, 14, and 17) will survive.
12Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Jurisdiction-specific carve-outs:
- United States: Some states do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
- Canada: Nothing in these Terms limits warranties or conditions implied by applicable consumer protection legislation that cannot be excluded.
- United Kingdom: Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015.
- Australia: Our Service comes with guarantees that cannot be excluded under the Australian Consumer Law. For major failures, you are entitled to a replacement or refund, and to compensation for any other reasonably foreseeable loss or damage. Nothing in these Terms purports to exclude, restrict, or modify those guarantees.
13Limitation of liability
To the maximum extent permitted by law:
- NeuralWallet will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
- Our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100.
These limits do not apply to liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by negligence, fraud, or — in Australia — liability under non-excludable consumer guarantees).
14Indemnity
You agree to indemnify and hold harmless NeuralWallet and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your violation of these Terms, (b) your misuse of the Service, or (c) your violation of any law or third-party right. This Section does not apply to consumers to the extent prohibited by local law.
15Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make material changes to the Terms, we will provide reasonable notice (e.g., in-app notice or email). Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account.
16Governing law & disputes
- If you reside in Canada: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario have non-exclusive jurisdiction.
- If you reside in the United States: These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles, except where applicable consumer protection law provides otherwise.
- If you reside in the United Kingdom: These Terms are governed by the laws of England and Wales (or Scotland / Northern Ireland if you reside there). The courts of England and Wales (or your local courts) have non-exclusive jurisdiction.
- If you reside in Australia: These Terms are governed by the laws of New South Wales. The courts of that State or Territory have non-exclusive jurisdiction.
Nothing in this Section deprives you of any mandatory protections under the law of the country where you reside.
17Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and NeuralWallet regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may give notice via in-app messages or to the email associated with your account.
